Jeana Trost is an experienced transactional attorney with sharp business acumen. She has counseled a wide variety of clients – from large institutional clients to start-up companies and everything in between – on numerous transactions, deal structuring and business strategy.
Jeana started her legal career at the international law firm of White & Case LLP as a transactional associate focusing on a variety of commercial matters involving real estate, finance, aviation and general commercial and corporate matters.
She served as Vice President – Legal to HCP, Inc. (NYSE: HCP), an S&P500 company and one of the largest real estate investors in the health care sector, with over $21 billion in assets under management. She worked closely with the company’s executives in all aspects of the company’s transactions – structuring, documenting, negotiating, reviewing, closing – as well as counseling on various internal matters such as corporate policies, budgets, content management, in-house training, and entity maintenance.
Jeana was also the Associate General Counsel of DineEquity, Inc. (NYSE: DIN), where she headed the legal transactions group and oversaw the company’s business contracts, with particular emphasis on restaurant technology initiatives.

- Served as the primary legal counsel to a $3.5B asset portfolio, managing all its legal needs.
- Represented owner in the acquisition and restructuring of corporate aircraft.
- Represented buyer/borrower in $1.7B portfolio acquisition with debt assumptions (conventional, agency, and securitized debt) and new leases (including one master lease covering 129 properties) involving 133 assets in 29 states.
- Represented borrower in $319MM in mortgage financing secured by senior housing assets.
- Represented seller in $502MM portfolio disposition of assets subject to NNN leases and/or management agreements.
- Represented landlord in a multi-party lease restructuring (which included a buyout, expansion, termination and lease amendment) involving an aggregate of 300,000 sq. ft.
- Represented acquiror of international hospitality chain of over 40 assets in 36 jurisdictions.
- Managed/maintained a 700+ corporate entity portfolio.
- Helped develop corporate policies, such as a business continuity plan and a corporate authorization policy.
